These Terms of Use govern access to brokervenezuela.com, our marketplace listings, virtual data rooms, dashboards and advisory services. By using the platform you accept these terms in full.
Nature of the platform
Broker Venezuela operates a private acquisition marketplace and coordinates independent licensed professionals (lawyers, accountants, valuation specialists) for due-diligence and transaction services in Venezuela.
Broker Venezuela is not a government agency, bank, securities broker, law firm, accounting firm or investment advisor. Nothing on this site constitutes investment, legal, tax or accounting advice.
Eligibility and accounts
Use of buyer or seller dashboards is restricted to individuals over 18 years of age acting on their own behalf or on behalf of a duly authorised entity. You are responsible for the accuracy of any information you submit and for maintaining the confidentiality of your credentials.
Listings and information
Listings published on the marketplace are sourced from sellers and verified by Broker Venezuela to the BrokerVerified™ tier indicated on each opportunity. Verification is a procedural standard — it does not constitute a guarantee of future performance, accuracy of seller representations, or the absence of undisclosed liabilities.
Buyers are expected to conduct, or commission, their own due diligence prior to executing any binding agreement.
Confidentiality and NDAs
Access to confidential information memoranda, virtual data rooms and seller identities requires execution of a non-disclosure agreement. Breach of an NDA may result in immediate suspension of access and the pursuit of legal remedies under Venezuelan and applicable foreign law.
Fees and engagements
Advisory services are quoted in US dollars on a per-engagement basis. Indicative 'from' prices on the platform reflect the typical minimum scope. Final fees are confirmed in a written engagement letter signed prior to commencement of work.
Limitation of liability
To the maximum extent permitted by law, Broker Venezuela's aggregate liability arising from your use of the platform is limited to the fees actually paid by you to Broker Venezuela in the twelve months preceding the event giving rise to the claim.
Governing law
These Terms are governed by the laws of the Bolivarian Republic of Venezuela. Disputes shall be submitted to the competent courts of the Metropolitan Area of Caracas, unless the parties expressly agree to international arbitration in their engagement letter.
